Transnational Corporation Plc Appoints Chiugo Ndubuisi as Non-Executive Director

Transnational Corporation Plc (Transcorp) wishes to notify the investing public of significant changes to its Board of Directors.

Mr. Emmanuel Nnorom has retired from the Board of Transnational Corporation Plc as a Non-Executive Director, effective at the close of business on May 27, 2024. His retirement complies with the provisions of Section 307(3) of the Companies and Allied Matters Act 2020 (as amended), which limits the number of public companies a director can serve simultaneously.

Mr. Nnorom has been a dedicated member of the Board for over 10 years. During his tenure, he made substantial contributions, particularly as the Chairman of the Finance and Investment Committee. The Board deeply appreciates his exceptional service and wishes him success in his future endeavours.

We are also pleased to announce the appointment of Mr. Chiugo Ndubisi as a Non-Executive Director, under the Companies and Allied Matters Act 2020 and the Articles of Association of Transnational Corporation Plc, reinforcing our commitment to corporate governance.

Mr. Ndubisi currently serves as the Group Executive Director in charge of Investments and Integration at Heirs Holdings Limited. He also oversees the Group’s insurance businesses, as well as its payment and technology companies.

With a career spanning over 25 years in the banking industry, Mr. Ndubisi brings a wealth of experience to the Board. Prior to joining Heirs Holdings, he was the Executive Director of Treasury & International Banking at United Bank for Africa (UBA), where he managed the Treasury Business across the Group and oversaw the bank’s international subsidiaries in the USA, UK, France, and Dubai. He previously held key positions at UBA, including Executive Director, Group Chief Operating Officer, and Group Executive, Transformation & Resources.

Mr. Ndubisi also has extensive experience from his tenure at the former Diamond Bank Plc (now merged with Access Bank Plc), where he served in various roles, including Executive Director, Chief Financial Officer, and Group Financial Controller. His notable service includes membership on the Board of Trustees of the Central Bank of Nigeria (CBN) Banking Industry Resolution Trust Fund and the Audit Committee of the Nigeria Interbank Settlement System (NIBSS).

He holds a first-class honours degree in Engineering from the University of Nigeria, Nsukka, and an MBA from the University of Lagos. Mr. Ndubisi is a Fellow of the Institute of Chartered Accountants of Nigeria (ICAN), the Chartered Institute of Bankers of Nigeria (CIBN), and the Chartered Institute of Taxation of Nigeria (CITN). He has also attended prestigious programs such as the Advanced Management Programme (AMP) at Wharton Business School and the Senior Management Programme (SMP) at Lagos Business School.
